In many workplace situations, employees are asked by their employers to take on responsibilities outside their usual duties that entail an increased degree of personal risk. Two common examples are (i) serving on the Board of Directors of a subsidiary or affiliated company, and (ii) permitting the use of the employee’s name and photo in commercial ads. In these and other situations, it is common and prudent to request an “Indemnity Letter” or “Indemnification Letter,” which is a promise to pay your damages and legal expense if sued related to this new responsibility.
